1. Agreement Overview
These Individual User Terms of Service (the "Agreement") govern your access to and use of the Jobnex platform, available at jobnex.net (the "Platform"), as a job seeker or candidate ("User," "you"). Jobnex is currently operated by its founder as a sole proprietorship based in British Columbia, Canada ("Jobnex," "we," "us"). By creating a profile, uploading a resume, or using any feature of the Platform, you agree to be bound by this Agreement and by our
Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.
Jobnex is a reverse recruitment platform: you create a profile and upload your resume, and verified employers browse and contact candidates whose profiles match their job postings. Creating and maintaining an individual account is free of charge.
2. Eligibility & Account Registration
2.1 Eligibility
You must be at least 18 years of age and legally able to work in the jurisdiction(s) identified in your profile to create a Jobnex account. By registering, you represent and warrant that you meet these requirements and that all information you provide is accurate, truthful, and complete.
2.2 Account Security
You are responsible for maintaining the security of your account credentials. You agree not to share your login information with any third party and to notify Jobnex immediately at support@jobnex.net if you suspect unauthorized access to your account.
2.3 One Account Per Person
Each individual may maintain only one active account on Jobnex. Creating duplicate or fraudulent accounts is prohibited and may result in immediate termination of all associated accounts.
3. Free Service for Individuals
Individual (job seeker) accounts are provided free of charge. We do not currently charge individuals any fees, and no payment information is collected from individual Users. If Jobnex introduces optional paid features for individuals in the future, those features will be governed by separate, clearly disclosed terms, pricing, and cancellation and refund policies, and will require your affirmative opt-in before any charge is made. Nothing in this Agreement obligates you to purchase anything.
4. Your Profile & Resume
4.1 Profile Content
You may create a professional profile on Jobnex including your work history, education, skills, and other career-related information. You are solely responsible for the accuracy, completeness, and legality of all content you upload or share.
4.2 Resume Upload
By uploading your resume, you represent that the document is your original work or that you otherwise have the right to submit it, that it accurately reflects your qualifications and experience, and that it does not infringe the intellectual property, privacy, or other rights of any third party.
4.3 Profile Visibility
Your profile, resume, and AI-generated summaries derived from them may be visible to verified Business users (employers) who subscribe to the Platform. By creating a profile, you consent to this visibility. You may adjust your visibility settings at any time through your account dashboard; setting your profile to private removes it from employer results.
4.4 Accuracy of Information
You agree not to misrepresent your qualifications, experience, credentials, or identity. Submitting false or misleading information is grounds for immediate account termination and may expose you to legal liability.
5. AI-Powered Features & Automated Processing
Jobnex uses artificial intelligence to operate core features of the Platform. We disclose this plainly so you understand how your information is processed:
Resume parsing & matching — your uploaded resume is parsed and structured using AI language models, and numerical representations (embeddings) of your resume are generated to enable similarity matching against job postings.
AI-generated summaries & scores — the Platform generates AI-written candidate summaries and match scores (for example, a percentage indicating fit for a specific job posting) that are shown to employers.
Translation — your profile content and AI-generated summaries may be machine-translated for display to employers in other languages.
AI outputs are generated automatically and may contain errors, omissions, or inaccuracies, and match scores are estimates rather than assessments of your actual ability or worth. Employers make their own hiring decisions; Jobnex does not make employment decisions on your behalf, and no adverse employment decision is made solely by the Platform. If you believe an AI-generated summary of your profile is materially inaccurate, contact support@jobnex.net and we will review and correct it where reasonably possible. Your resume content is processed by third-party AI service providers (such as Anthropic and OpenAI) solely to provide these features; it is not used by Jobnex to train foundation AI models.
6. Employer Contact & Communications
6.1 Employer Outreach
Employers on Jobnex may request to contact you regarding job opportunities based on your profile and resume. Where a consent step applies, contact details are shared only after you accept the request, and unanswered requests expire automatically. By maintaining an active, visible profile, you acknowledge and consent to receiving employment-related messages from verified Business users through the Platform.
6.2 Managing Communications
You can control the types of messages you receive through your notification and privacy settings. You may block specific employers or opt out of employer outreach entirely by setting your profile to private or pausing your job search status.
6.3 Reporting Inappropriate Contact
If you receive contact that is harassing, discriminatory, fraudulent, or otherwise inappropriate, please report it using the in-platform reporting feature or by contacting support@jobnex.net. Jobnex will investigate reports and may suspend or terminate offending accounts.
7. Email Communications & Anti-Spam Compliance
Jobnex sends two categories of email, consistent with Canada's Anti-Spam Legislation (CASL) and the U.S. CAN-SPAM Act:
Transactional & service emails — messages necessary to operate your account, such as account verification, security notices, employer contact and consent requests, activity confirmation requests, and notices of changes to these terms. These are sent as part of providing the service you signed up for and cannot be fully opted out of while you maintain an account.
Marketing emails — news, tips, or promotional content, sent only with your consent. Every marketing email will identify Jobnex, include a working unsubscribe mechanism, and honour unsubscribe requests promptly (within 10 business days at most).
We do not sell or rent your email address, and we do not send email on behalf of third parties.
8. Account Activity & Automatic Deactivation
To keep the candidate pool current for employers, Jobnex may periodically email you to confirm that you are still actively looking. If you do not respond within the stated window (for example, seven days) or otherwise show account activity, your profile may be automatically set to inactive and hidden from employer results. Deactivation for inactivity does not delete your account or data; you can reactivate at any time by logging in.
9. Privacy & Your Data
9.1 How We Use Your Data
Our collection, use, and disclosure of personal information is described in our
Privacy Policy. In summary, we use your data to operate the Platform, match you with relevant job opportunities, communicate with you, and improve our services.
9.2 We Do Not Sell Your Data — But We Do Use Service Providers
Jobnex does not sell your personal information and does not share it with third parties for their own advertising purposes. However, in the interest of full transparency, we share data with service providers who process it on our behalf to run the Platform, including: analytics providers (such as Google Analytics, which receives usage data and identifiers about how you use the site), AI processing providers (such as Anthropic and OpenAI, which process resume content to provide parsing, matching, and summaries), translation providers, cloud hosting and storage providers, and email delivery providers. Some of these providers are located outside Canada (including in the United States), and your information may be stored and processed there, subject to the laws of those jurisdictions. Under certain privacy laws (such as the California Consumer Privacy Act), the use of third-party analytics cookies can be considered a "sharing" of personal information; where required, we provide an opt-out mechanism as described in our
Privacy Policy.
9.3 Your Data Rights
Subject to applicable law — including PIPEDA and BC's Personal Information Protection Act in Canada, the GDPR if you are in the European Economic Area or the UK, and the CCPA/CPRA if you are a California resident — you have the right to:
access the personal information Jobnex holds about you and receive a copy in a portable format;
correct inaccurate or incomplete information in your profile;
request deletion of your account and associated personal data;
withdraw consent for processing where processing is based on consent;
opt out of the "sale" or "sharing" of personal information as those terms are defined under the CCPA/CPRA (noting that Jobnex does not sell personal information for money);
not be discriminated against for exercising any of these rights;
lodge a complaint with your local privacy regulator (for example, the Office of the Privacy Commissioner of Canada or the OIPC of British Columbia).
To exercise any of these rights, contact privacy@jobnex.net. We will respond within the timelines required by applicable law.
9.4 Data Retention
Jobnex retains your data for as long as your account is active or as needed to provide our services. If you delete your account, we will delete or anonymize your personal data within 30 days, except where retention is required by law or for legitimate purposes such as fraud prevention, backup integrity, or dispute resolution, in which case data is retained only as long as necessary for that purpose.
10. User Content & License
You retain ownership of all content you upload to Jobnex, including your resume and profile information. By uploading content, you grant Jobnex a non-exclusive, worldwide, royalty-free license to host, store, process (including AI processing and translation as described in Section 5), display, and transmit your content solely for the purpose of operating the Platform and providing services to you. This license ends when your content is deleted from the Platform, subject to the retention periods in Section 9.4. Jobnex does not claim ownership of your resume or personal content and will not use it for any purpose beyond Platform operation and the direct provision of services described in this Agreement.
11. Copyright Complaints (DMCA & Notice-and-Notice)
Jobnex respects intellectual property rights and expects Users to do the same. Content on the Platform is primarily user-submitted, and Jobnex acts as an intermediary host for such content.
11.1 United States (DMCA)
If you believe content on the Platform infringes your copyright, you may send a notification under the Digital Millennium Copyright Act to our designated agent at legal@jobnex.net, including: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the copyright owner; and (f) your physical or electronic signature. We will remove or disable access to infringing material expeditiously and may terminate the accounts of repeat infringers. Users whose content is removed may submit a counter-notification containing the elements required by 17 U.S.C. § 512(g).
11.2 Canada (Notice-and-Notice)
For claims under Canada's Copyright Act notice-and-notice regime, notices meeting the statutory requirements may be sent to legal@jobnex.net and will be forwarded to the relevant User where required.
12. Prohibited Conduct
You agree not to use Jobnex to:
upload false, fraudulent, or misleading profile information or resumes;
impersonate any person or misrepresent your professional credentials;
upload content you do not have the right to share, or that infringes any third party's intellectual property, privacy, or other rights;
collect, scrape, or harvest information about other users or employers without consent;
distribute spam, malicious code, or unsolicited messages;
attempt to gain unauthorized access to the Platform or other users' accounts;
interfere with, probe, or circumvent any Platform security, rate-limiting, or access control features;
use automated means (bots, scrapers) to access the Platform without our written permission; or
use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
13. Third-Party Links & Services
Jobnex may contain links to third-party websites, employer career pages, or external resources. These links are provided for convenience only. Jobnex has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites or services.
14. Translations
The Platform and this Agreement may be made available in multiple languages for convenience. Translations of profile content shown to employers may be machine-generated. In the event of any inconsistency between the English version of this Agreement and a translated version, the English version governs to the extent permitted by applicable law.
15. Account Termination
You may delete your account at any time through your account settings. Upon deletion, your profile is removed from employer results immediately, and your personal data is deleted within 30 days in accordance with Section 9.4 and our
Privacy Policy.
Jobnex reserves the right to suspend or terminate your account, with or without notice, if you violate this Agreement, engage in fraudulent activity, are the subject of repeated credible complaints, or if your continued use poses a risk to the Platform or other users. Where reasonable, we will tell you the basis for a suspension or termination and give you an opportunity to respond.
Where we reasonably suspect a violation of this Agreement, fraud, or other unlawful activity, we may investigate; suspend or restrict your account while we investigate; preserve relevant records and evidence; and cooperate with, and disclose information to, law enforcement or other authorities where permitted or required by law. Suspension during an investigation is not an admission of wrongdoing by either party.
16. Disclaimers; No Warranty
JOBNEX IS A PLATFORM THAT FACILITATES CONNECTIONS BETWEEN JOB SEEKERS AND EMPLOYERS. JOBNEX DOES NOT GUARANTEE EMPLOYMENT, JOB PLACEMENT, INTERVIEW OPPORTUNITIES, EMPLOYER CONTACT, OR ANY SPECIFIC OUTCOME FROM YOUR USE OF THE PLATFORM. JOBNEX MAKES NO REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF EMPLOYER JOB POSTINGS, EMPLOYER INFORMATION, OR AI-GENERATED MATCH SCORES, SUMMARIES, OR TRANSLATIONS, ALL OF WHICH MAY CONTAIN ERRORS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JOBNEX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Some jurisdictions do not allow the exclusion of certain warranties or conditions, including certain consumer protection rights under the laws of British Columbia and other provinces. Nothing in this Agreement excludes, restricts, or modifies any right or remedy you have under applicable law that cannot lawfully be excluded.
16.1 Not an Employment Agency
Jobnex is a technology platform that helps employers discover and contact candidates. Jobnex is not an employment agency, recruiter, staffing firm, talent agency, or employer, and does not act on your behalf in seeking employment. We do not place candidates, negotiate terms of employment, or receive placement fees.
16.2 Employers Are Independent Third Parties
Employers who use Jobnex are independent third parties. Jobnex does not control and is not responsible for their hiring processes, interview or selection decisions, employment practices, or their communications and conduct once your contact information has been shared with them. Any employment relationship or offer is solely between you and the employer.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) JOBNEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF EMPLOYMENT OPPORTUNITIES, LOSS OF INCOME, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING UNAUTHORIZED ACCESS TO YOUR DATA BY THIRD PARTIES; AND (B) JOBNEX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO JOBNEX IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (ii) CAD $100.
These limitations apply regardless of the theory of liability (contract, tort, negligence, statute, or otherwise) and even if Jobnex has been advised of the possibility of such damages. They do not apply to liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or gross negligence, or to non-waivable consumer rights.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Jobnex and its founder from claims, damages, and reasonable expenses (including legal fees) arising out of content you upload, your violation of this Agreement, or your violation of any law or third-party right — except to the extent caused by Jobnex's own breach, negligence, or misconduct.
19. Dispute Resolution
19.1 Informal Resolution First
Before starting any formal proceeding, you agree to contact us at legal@jobnex.net and give us 30 days to try to resolve the dispute informally.
19.2 Arbitration
Subject to Sections 19.3 and 19.4, any dispute arising under this Agreement that is not resolved informally shall be resolved by binding arbitration in British Columbia under the British Columbia Arbitration Act, before a single arbitrator, conducted in English. Where feasible, the arbitration will be conducted by videoconference or on documents alone to minimize cost.
19.3 Exceptions
Either party may (a) bring an individual claim in small claims court (including the BC Civil Resolution Tribunal or Provincial Court, where within their jurisdiction) instead of arbitrating, and (b) seek injunctive or equitable relief in a court of competent jurisdiction. Nothing in this Section prevents you from making a complaint to a privacy, consumer protection, employment standards, or human rights regulator, and nothing in this Agreement waives rights or remedies under consumer protection legislation (including the BC Business Practices and Consumer Protection Act) that cannot lawfully be waived.
19.4 Arbitration Opt-Out
You may opt out of the arbitration requirement in Section 19.2 by emailing legal@jobnex.net with the subject line "Arbitration Opt-Out" within 30 days of first accepting this Agreement. Opting out does not affect any other part of this Agreement.
19.5 Individual Claims Only
To the fullest extent permitted by applicable law, claims must be brought on an individual basis only, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. This Section 19.5 does not apply where it is prohibited or unenforceable under the law that applies to you — including, for many consumers in British Columbia and elsewhere, non-waivable rights to participate in class proceedings. If this Section 19.5 is found unenforceable as to a particular claim, it is severed only as to that claim, and the remainder of Section 19 continues to apply; a claim that cannot lawfully be waived or arbitrated on an individual basis may proceed in court.
20. Governing Law
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. If you reside outside Canada, you may also benefit from mandatory consumer protections of the laws of your place of residence.
21. Modifications
Jobnex may update these terms from time to time. We will notify you of material changes by email or through an in-platform notice at least 15 days before they take effect (except changes required by law or to address security issues, which may take effect immediately). Your continued use of Jobnex after the effective date of an update constitutes acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the Platform and may delete your account.
22. Additional Terms
22.1 Changes to the Platform
Jobnex is under active development. We may modify, add, discontinue, or replace features, functionality, or services at any time, and no specific feature is guaranteed to remain available. Where a change materially reduces core functionality you rely on, we will use reasonable efforts to provide notice. Because individual accounts are free, discontinuation of a feature does not entitle you to compensation.
22.2 Beta and Experimental Features
From time to time we may offer features designated as beta, preview, or experimental — including new AI features. These are provided "as is," may be incomplete or change or be withdrawn at any time, may produce unexpected results, and are excluded from any service commitments. Your use of such features is voluntary and at your own discretion.
22.3 Service Availability
We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may suspend, limit, or interrupt the Platform (in whole or in part) for maintenance, upgrades, security incidents, or technical or operational reasons, with or without notice.
22.4 Force Majeure
Jobnex is not liable for any delay or failure to perform caused by events beyond its reasonable control, including internet or telecommunications outages, failures of cloud hosting or infrastructure providers, outages or changes affecting third-party AI or other service providers, cyber-attacks, power failures, natural disasters, epidemics, labour disputes, or governmental actions, orders, or changes in law.
22.5 Export Controls and Sanctions
You may not use the Platform in violation of applicable export control, trade, or economic sanctions laws. You represent that you are not located in, and are not a resident of or ordinarily controlled by, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable sanctions laws.
23. General
If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force. This Agreement, together with the
Privacy Policy, is the entire agreement between you and Jobnex regarding individual use of the Platform. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement; Jobnex may assign it in connection with a reorganization, incorporation, or sale of the business, in which case we will notify you.
